The Bourbonators Bylaws
ARTICLE I NAME
The name of the organization shall be The Bourbonators (hereinafter referred to as the club).
ARTICLE II PURPOSES
The primary purpose/mission of The Bourbonators is to promote friendship and camaraderie through whisk(e)y tasting and gaming events.
ARTICLE III MEMBERS
Any individual invited by another member shall be eligible to participate in club meetings.
ARTICLE IV OFFICERS
Section 1.
The elected officers of this club shall be the Chief Bourbonator, Vice Chief Bourbonator, Secretary, and Treasurer.
Section 2.
The Chief Bourbonator shall:
(A) Organize and schedule the monthly meetings of the club.
(B) Preside at all meetings of the club.
Section 3.
The Vice Chief Bourbonator shall:
(A) Perform the Chief Bourbonator’s responsibilities in his absence.
Section 4.
The Secretary shall:
(A) Record the minutes of each meeting of the club, including, but not limited to poker points.
(B) If not present for a meeting, receive texts throughout the meeting time for live updates to poker points.
Section 5.
The Treasurer shall:
(A) Collect all monies due the club.
(B) Validate the balances of the accounts and transactions
ARTICLE V NOMINATION AND ELECTION OF OFFICERS AND DIRECTORS
Section 1.
Candidates for elective club offices shall be members of the club and shall be elected for life. Officers may step down at any time.
Section 2.
The election of officers shall be held, upon necessity, at a monthly meeting. Nominations of officers shall be made by members present at the meeting or by email prior to the meeting. Nominees must be present at the meeting, or accepted nomination prior to the meeting. Only members present at the meeting may vote. Voting shall be performed via voice (Aye or Nah). In the event of a tie vote or dispute, a final vote shall be taken by written ballot.
ARTICLE VI MEETINGS
Section 1.
Regular meetings of the club shall be held monthly at the home of a member. A bottle of whisk(e)y will be provided by the officers or host. Members will receive a minimum one drink (one ounce) of the month’s whisk(e)y if they choose to participate. Additional drinks for members will be determined by the availability after all members get their first drink. Members may bring other drinks for themselves, or to share.
Section 2.
In the event that a member of the club who lives out of state will be visiting and the member requests to participate in a meeting, the club shall make its best effort to schedule the monthly meeting (or a second monthly meeting) for the time said member is visiting.
Section 3.
A quorum for the club meetings shall be 4 members.
ARTICLE VII FINANCES
Section 1.
The club has no annual dues. At the monthly meetings two fees shall be paid.
1. Fee to go towards the whisk(e)y being sampled for the night.
2. Fee to go towards participation in the night’s entertainment, such as entering the poker tournament. The amount collected will be paid out to the participants based on the published poker payout schedule.
The price of each fee shall be determined at the beginning of the meeting and should be based on the cost of the whisk(e)y being sampled and the number of members in attendance.
If a member declines to participate in either of the events, the fee for that event shall be waved.
Section 2.
Revenue from overages of whisk(e)y fees will be deposited into The Bourbonators bank account.
Section 3.
Monies in The Bourbonators bank account shall be used at the club’s discretion.
ARTICLE VIII AMENDMENTS
The bylaws may be amended at any meeting of the club by a two-thirds (2/3) vote of those
present and voting, provided that notice to the amendments has been given either at the previous meeting or sent to each member at least 5 days before the meeting.
ARTICLE XII DISSOLUTION
In the event of the dissolution of this club to the extent allowed under applicable law, all club assets shall be donated to a charity of the club’s choosing.
AMENDMENT TO CLUB BYLAWS
The bylaws of The Bourbonators are hereby amended as follows:
